SupaVPN Terms of Service

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, including any future amendments. These Terms apply to every user of the Services. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Your use of the Services is also subject to the rules of the platform from which you obtained the app, including Apple's standard Licensed Application End User License Agreement and the Apple Media Services Terms and Conditions. Where those platform terms conflict with these Terms with respect to the app itself, the platform terms control for that subject matter.

2. Eligibility and Age Requirements

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to use the Services. The Services are not directed to children, and we do not knowingly permit anyone under 18 to create or use an account or subscription.

By using the Services, you represent and warrant that you meet these age requirements, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Services under the laws of any applicable jurisdiction, including any sanctions or export-control restrictions described in these Terms.

3. Description of the Service

SupaVPN is a consumer VPN application that establishes an encrypted connection between your device and our servers, routing your internet traffic through those servers so that your connection is more private and, where you choose, appears to originate from a different location. Typical uses include protecting your connection on untrusted or congested networks and accessing services and content you are entitled to when you travel.

SupaVPN is account-less. Rather than requiring a name, email address, or password, the app generates a random identifier that is stored securely on your device and used to associate your device with your subscription and VPN configuration. You are responsible for the device on which the app is installed.

The Services are provided for your personal, non-commercial use. Availability, server locations, speed, and connection quality depend on factors outside our control, including your device, your internet service provider, network conditions, and the policies of the networks and services you access.

4. Subscriptions, Billing, and Free Trial

SupaVPN is offered through auto-renewable subscriptions that are purchased and processed by Apple through your Apple Account. The available plans, their durations, and their prices are displayed in the app at the point of purchase and may vary by region and over time.

• Free trial. The annual plan may include a 3-day free trial. If you do not cancel before the trial ends, the subscription automatically converts to a paid subscription and your Apple Account is charged the applicable price. If you purchase a subscription that includes a free trial, any unused portion of the trial is forfeited when you buy the subscription, where required by applicable law.
• Auto-renewal. Subscriptions renew automatically for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple Account is charged for renewal within 24 hours before the end of the current period.
• Managing and cancelling. You can manage your subscription and turn off auto-renewal at any time in your Apple Account settings on your device. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Billing and refunds. All billing, payment, cancellation, and refund requests are handled by Apple in accordance with Apple's Media Services Terms and Conditions. We do not process payments directly and generally cannot issue refunds ourselves; refund eligibility is determined by Apple.

We use a subscription-management provider (RevenueCat) to verify and keep track of your subscription status. Access to premium features depends on an active, verified subscription entitlement. If your subscription lapses, is refunded, is charged back, or cannot be verified, premium access may be suspended or removed.

5. Your Responsibilities and Device Security

You are responsible for maintaining the security of the device on which the Services are installed and for all activity that occurs through your use of the Services. You should keep your device software up to date, protect it from unauthorized access, and safeguard the app and its stored identifier. Because SupaVPN is account-less, anyone with access to your unlocked device may be able to use your subscription.

6. Acceptable Use Policy

SupaVPN is provided for lawful purposes only. You agree to use the Services in compliance with all applicable laws and regulations of the jurisdictions you connect from and to, and you agree not to use the Services, or permit anyone else to use them, for any of the following prohibited activities:

• Child sexual abuse material and exploitation of minors. Creating, uploading, downloading, storing, transmitting, soliciting, or distributing child sexual abuse material (CSAM), or any content or conduct that sexualizes, exploits, or endangers minors. This is prohibited absolutely and without exception.
• Other unlawful activity or content. Any activity that is illegal, or any content that is illegal to create, possess, access, or share under applicable law, including fraud, human trafficking, terrorism or violent extremism, or the sale or distribution of illegal goods or substances.
• Spam, phishing, and unsolicited messaging. Sending unsolicited bulk or commercial messages (spam) of any kind, including email, pop-ups, or mass messaging, and operating phishing, social-engineering, or other deceptive schemes.
• Network abuse and intrusion. Hacking, unauthorized access to any system, account, or data, port scanning, scanning for open proxies or relays, denial-of-service or distributed denial-of-service (DoS/DDoS) attacks, or any other activity that disrupts, degrades, probes, or attacks networks, servers, or devices.
• Malware. Creating, hosting, transmitting, or distributing viruses, worms, trojans, spyware, ransomware, rootkits, or any other malicious code.
• Infringement of others' rights. Infringing the intellectual property, privacy, publicity, or other legal rights of any person or entity, including unauthorized copying, distribution, or use of copyrighted or trademarked material.
• Harassment and abuse. Harassing, threatening, defaming, blackmailing, stalking, or abusing any person.
• Sanctions, embargoes, and export controls. Using the Services to evade sanctions or embargoes, or in violation of applicable export-control laws, including use in or for the benefit of any country, region, person, or entity subject to comprehensive sanctions.

We do not monitor the content of your VPN traffic, and, as described in our Privacy Policy, we do not keep activity or destination logs. However, where we become aware of activity that violates this Acceptable Use Policy or applicable law, we may suspend or terminate your access to the Services.

We report child sexual abuse material to the appropriate authorities as required by law, and we cooperate with valid legal process, including lawful requests from law enforcement. Nothing in our no-logs commitment obligates us to retain data we do not collect, and we can only provide information that we actually hold.

7. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms or the Acceptable Use Policy, if required by law or valid legal process, to protect the security or integrity of the Services or other users, or if your subscription entitlement can no longer be verified.

You may stop using the Services at any time by cancelling your subscription through Apple and deleting the app. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will continue to apply.

8. Intellectual Property

The Services, including the SupaVPN application, software, design, text, graphics, logos, and the SupaVPN and Nureply names and marks, are owned by Nureply or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control, solely for your personal use. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Services, except to the extent this restriction is prohibited by applicable law or permitted by the license of any open-source components included in the app.

9. Third-Party Services and Content

The Services rely on and interact with third parties, including Apple (app distribution and payments), our subscription-management provider, our content-delivery and infrastructure providers, and our VPN hosting providers. Your use of those services may be subject to their own terms and privacy policies.

We do not control and are not responsible for third-party websites, content, services, or products that you access while using the Services. While we may block or limit certain traffic to protect the Services or users, we are not responsible for the accuracy, legality, or appropriateness of third-party materials, and your interactions with third parties are solely between you and them.

10. Modifications to the Service

We are continually improving the Services and may modify, add, or discontinue features, server locations, or the Services as a whole at any time. Where a change materially reduces the core functionality of a paid subscription, your remedy is limited to the refund and cancellation mechanisms provided by Apple. We are not liable for any modification, suspension, or discontinuation of the Services.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any particular server, location, or level of performance will be available.

A VPN improves privacy but does not make you anonymous and is not a substitute for comprehensive security practices. You are responsible for evaluating whether the Services are appropriate for your intended use and legal in your jurisdiction.

12. Limitation of Liability

To the fullest extent permitted by law, Nureply and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, arising out of or relating to your use of, or inability to use, the Services, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim relating to the Services will not exceed the greater of the amount you paid for the Services in the twelve months preceding the event giving rise to the claim, or ten U.S. dollars (USD 10). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Nureply, its affiliates, and their respective officers, employees, and service providers from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your violation of these Terms or the Acceptable Use Policy, or your infringement of any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" above and post the revised Terms on this page. The most current version will always be available here. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. It is your responsibility to review the Terms periodically.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration, to the extent permitted by applicable law.

Any dispute-resolution, arbitration, or class-action-waiver provisions intended to apply to the Services should be finalized with counsel and inserted here. Nothing in these Terms limits any non-waivable rights or protections available to you as a consumer under the mandatory law of your country of residence.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be interpreted or replaced to reflect its original intent as closely as the law allows.
